Organizational Setting

The Office of Legal Affairs, which reports directly to the Director General, provides legal services of the highest possible standards to the Director General, the Secretariat and to the organs and bodies of the IAEA, as well as to Member States, regarding the implementation of the IAEA's activities.

The General Legal Section is primarily responsible for providing legal advice and support to all areas of the Secretariat to ensure that the IAEA's activities (particularly administrative and corporate matters relating to, inter alia, human resources; audits; contracts and other commercial agreements; financial regulations and rules; procurements; and relationship agreements with Member States, the United Nations, cooperating institutions and other international organizations) are in line with applicable agreements, regulations, rules, policies and relevant jurisprudence.

Main Purpose

Under the guidance of the Section Head, the Legal Officer, Corporate Law Lead conducts research, prepares legal opinions and analysis, legal instruments and documents and provides legal advice, including to senior management, on the drafting, application and interpretation of such documents, primarily in connection with commercial and non-commercial matters relating to:

  1. Contract law, including commercial and non-commercial agreements;
  2. Procurement and Financial matters including budget and finance, the IAEA Financial Regulations and Rules;
  3. Resource mobilization, partnerships, and voluntary contributions;
  4. Banking, audit, insurance and tax related matters and data privacy.

In consultation with the Section Head, the Legal Officer, Corporate Law Lead coordinates and supervises the Corporate Law work of the Section, prioritizes and assigns tasks to Legal Officers and other colleagues in the Section, and provides inputs and guidance to other Legal Officers to improve their work, to ensure quality and consistency and to support the timely delivery of work products.

The Legal Officer, Corporate Law Lead liaises with external and internal stakeholders, including consultations and negotiations with representatives of Member States or other organizations on matters of common concern.

The Legal Officer, Corporate Law Lead represents the Section and provides legal advice at specialized meetings and participates on inter-departmental committees and working groups, providing expertise on relevant policy issues.

The Legal Officer, Corporate Law Lead also conducts research and provides inputs with respect to agreements with Member States, the United Nations, cooperating institutions and other international organizations.

The Legal Officer, Corporate Law Lead may, as required, provide professional advice and draft documents regarding administrative and policy matters relating to, inter alia, human resources issues, privileges and immunities, confidentiality, intellectual property rights, administrative litigation and internal appeals.

Role

The incumbent is a member of the General Legal Section and provides professional inputs to, inter alia, the Director General's Office, the Division of Finance, the Division of Human Resources, the Division of General Services, the Office of Procurement Services and other Divisions and Offices in the IAEA.

Functions / Key Results Expected
  1. Act as focal point for Corporate Law issues, including managing the workflow, supervising the workload of and coordinating the work of the Legal Officers in the Section; as requested by the Section Head, also performs initial review of the work of other Legal Officers to ensure quality and consistency in work product;
  2. Act as Section focal point for procurement and financial matters;
  3. Develop and maintain strong working relationships with critical stakeholders both within and outside the IAEA;
  4. Advise and draft advice for senior management on the legal aspects of contractual and financial matters, including concerning the Financial Regulations and Financial Rules of the IAEA, budget issues and all aspects of resource mobilization mechanism and activities, partnerships and voluntary contributions from traditional and non-traditional donors;
  5. Provide advice on the drafting and interpretation of the IAEA's procurement policies and guidelines concerning contractual instruments;
  6. Draft contracts, agreements and other legal instruments and provide advice on general matters of corporate law;
  7. Advise and draft advice on the legal aspects of human resources matters including as concerns the IAEA's Staff Regulations and Staff Rules and personnel policies, including advice and drafting of submissions with respect to internal appeals, disciplinary cases, and appeals submitted to the ILO Administrative Tribunal, draft advice on the legal aspects of the IAEA's Headquarters Agreement and applicable agreements on privileges and immunities and on other matters of administrative law.

Required Expertise
  1. Legal Administrative Law Knowledge of and experience with relevant IAEA administrative legal instruments and agreements as well as principles of administrative law.
  2. Legal Agency's Statute, Rules of Procedures, Regulations, Practices and Precedents Knowledge of and ability to analyse and apply the Agency's Statute, Rules of Procedure, Regulations, Practices and Precedent.
  3. Legal Contract Law Knowledge of contract law from the UN Common System or other International Organizations, particularly drafting, negotiating and advising.
  4. Legal International Law Knowledge of broad principles of Public International law.
  5. Legal Legal Drafts Ability to draft clear, concise documents setting out facts and arguments in an accurate manner.
  6. Legal Policy Development Legal Support for Policy Development.
Qualifications, Experience and Language skills
  • Higher Degree (e.g. Juris Doctor) or Advanced Law Degree required.
  • Minimum of seven years of relevant experience, including several years at the international level.
  • Proven ability to prepare legal drafts.
  • Excellent oral and written command of English. Knowledge of other official IAEA languages (Arabic, Chinese, French, Russian and Spanish) is an asset.
