Aboutthe role and team

We have anopportunity for an experienced corporate/M&A lawyer to join ourgrowing Corporate & Commercial section in Sydney working withhighly regarded partners. 

This is afantastic hands-on corporate & commercial role, withsignificant learning, development and progression opportunities,and the opportunity to work with interesting clients. Hall &Wilcox is rapidly developing a reputation as a leading firm formiddle market corporate transactions, and acts for a broad range ofclients, including insurers, financial institutions, venturecapital, private equity backed businesses, listed companiesand large private companies.

Keyresponsibilities

Thesuccessful candidate will be involved in a range of matters,including:

  • actingon mergers and acquisitions ranging from $1M in value throughto values exceeding $100M;
  • advisingventure capital funds and targets of venture capital funds oninvestments including due diligence andnegotiation;
  • draftingdocumentation including joint venture and shareholderagreements, security holder agreements and commercialcontracts;
  • advisingclients on complex capital raising transactions for entitiesraising capital and for investors;
  • providing advicepertaining to corporate structure;
  • advisingprivate and public sector clients on corporate governance andcompliance issues;
  • a rangeof general corporate and commercial matters.

Skills andexperience

We are keento hear from candidates with the following skills andexperience:

  • 2-4years post admission experience gained in a corporate &commercial practice;
  • experience advising onkey matters relating to corporate/M&A including duediligence, drafting & negotiating acquisition documents andregulatory approvals including FIRB;
  • experience withcorporate restructuring and corporate governance;
  • someexperience of licensing and general contractingarrangements;
  • highlydeveloped legal and research skills; and
  • experience with atop-tier, international or large national firmpreferred.
