About the Role
Full time – Fixed Term (28 November 2027)
Reporting to the Director Legal, MR5 Project, this role will be required to support the legal work stream and work closely with the internal and external legal, technical and commercial advisors and the broader project team to deliver on the project objectives.
The successful candidate will be accountable for assisting the Director Legal in providing legal and strategic advice in relation to the proposed future model, developing a contracting framework for the future model, developing a suite of new agreements that reflect the approved positions, assisting with finalising the agreements and the execution process, assisting with legal due diligence, actively identifying and managing legal/commercial project risks, contributing to internal departmental related legislative and regulatory issues pertaining to the project, producing project documentation for both internal and external audiences and performing other duties and tasks as directed.
The Principal Lawyer, Transactions is expected to have excellent drafting skills, be able to work as part of a multi-disciplinary team and to provide timely, clear and pragmatic legal advice.
Gather and analyse information from within DTP and from other sources to support development of the new MR5 Train Franchise Agreement Support the Legal Director to identify & analyse legal risks and implications of all activities undertaken during the MR5 Train Project Provide legal advice on a wide range of legal issues, relating to commercial and project matters, including reforms that need to be adopted into the MR5 Train Franchise Agreement, the procurement process and ancillary contracts and projects related to the MR5 Project.
Assist in the management of legal due diligence and requests for information to both the incumbent train operator as well as bidders during the procurement process Assist with the preparation of project documentation and advice, including submissions to government and internal stakeholder briefings on areas of review/change and other complex legal/commercial matters KEY SELECTION CRITERIA
You will be a highly skilled and experienced legal professional to join our team.
The ideal candidate will independently manage complex and urgent legal matters, providing expert legal advice and applying relevant law to intricate situations, while balancing policy, probity, and operational considerations.
You will be responsible for drafting complex transactional documents, adapting precedents or creating bespoke solutions to meet specific requirements and manage legal risks.
Your advanced legal knowledge will ensure documents comply with policy and minimize legal and commercial risks.
With a strong focus on critical thinking and problem solving, you will evaluate issues from multiple perspectives to deliver effective solutions, integrating those solutions into work processes to prevent future problems.
You will also have a key role in influencing and persuading stakeholders, building support for ideas and gaining buy-in from decision-makers.
In addition to coordinating tasks to meet project outcomes, you will manage a wide range of stakeholder needs, facilitating innovative solutions to resolve competing interests.

QUALIFICATIONS AND EXPERIENCE:
Mandatory
Admitted, or eligible to be admitted, as a lawyer in Victoria, with a current legal practicing certificate (Vic) A minimum of 5 years post-qualification experience Experience working on major commercial projects in either public or private sectors, including experience with a range of procurement models.
Knowledge of the relevant legislative background and experience with different models of franchising, alliances and procurement in the Government sector.
Knowledge of Government policy, administrative and decision-making processes.
