As a highly regarded community and social services organisation, our client supports people caring for family members and/or friends who may be living with disability, mental illness, health related and/or chronic conditions, drug and alcohol related issues, and those who may be frail due to ageing.
As a not-for-profit registered charity and company limited by guarantee, the organisation is governed by a volunteer Board of Directors in accordance with the Corporations Act 2001 and the Australian Charities and Not-for-Profits Commission Act 2012.
The Board oversees the activities of the organisation and draws on the expertise and insights of Directors to achieve its strategic priorities.
Role Overview: Collaborating with a mix of recently appointed and long-standing Board Members, the Chairperson will act as a steward of the organisation's mission, and play a pivotal role in leading the Board of Directors, ensuring fulfilment of its vision and strategic objectives.
Together, the Board will guide the organisation to innovate and expand its impact, ensuring that carers across diverse communities receive the recognition and support they deserve.
Following appointment, the Chairperson will work closely with the Board to facilitate the recruitment of a new Chief Executive Officer (CEO), and will go on to provide leadership, vision, and oversight whilst holding the CEO and executive team to account.
Directors are appointed as individuals, not as nominees or representatives of organisations or a particular sector.
All meetings will be held at the North Sydney head office.
Candidates must be available to travel to this location frequently as all Board meetings are intended to be held in-person.
The role is unremunerated but reasonable expenses will be covered. Duties will include: Providing strategic leadership to the Board, ensuring that the organisation achieves its visionChairing Board meetings, ensuring effective and collaborative discussionsParticipating in Board sub committeesWorking closely with the CEO to support the development and implementation of strategic goalsEnsuring the Board is aware of and complies with legal and regulatory requirements, and Board policiesRepresenting the organisation in a professional manner to internal stakeholders, state and federal governments, the wider community services sector, and to the publicChampioning strategic partnerships and advocating for policy reforms that strengthen support systems for carersFostering a positive Board culture, encouraging diverse perspectives and constructive debate Selection Criteria: As the successful applicant you will possess the following:
Proven and substantial leadership experience in a comparable role, (in a Chair or executive Board position) within the not-for-profit or public sectorStrong understanding of ethics and governance, and the roles and responsibilities of a BoardKnowledge and understanding of the community services, care and social services sectors, and the infrastructure of services at state and federal levelsExperience working within a government funded environment with knowledge of funding applications, contract negotiations and renewals, business continuity and contract acquittalsAbility to think strategically and provide clear guidance to the Board and CEO, working to a strategic planExperience growing organisations and expanding the footprint of servicesDemonstrated ability to build relationships with stakeholders at all levelsUnderstanding of federated structures in the not-for-profit sectorCandidates with lived experience or a demonstrated commitment to supporting carers will be highly regardedRelevant tertiary qualificationsAICD or Governance Institute of Australia membership is desirableEligible applicants will also be required to undertake a satisfactory National Police Check, Working with Children Check and hold a current Director ID. Board Activities: The successful applicant will commit to two - five days per month, which includes in-person Board meetings, regular CEO discussions, and participation in sub-committee work.
Flexibility is essential for occasional time-sensitive matters.
Board Meetings are conducted in-person in Sydney at least six times a year on the last Thursday of every second month and usually last from three to four hours.
In addition, fortnightly meetings with the CEO will be required, as will Board sub-committee and working groups meetings.
