**Our business**

**Your role**:

- Leading the Financial & Tax workstream in M&A projects throughout the whole process from preparation until Closing and Post-Closing
- Negotiation of the Finance & Tax related and commercial matters/clauses of Share Purchase Agreements/ Asset purchase Agreements (SPA/ APA) in face-to-face negotiations with the buyer/ seller of shares or assets
- Providing input for sell side transaction documents such as Teaser, Information Memorandum, Process Letters, Management Presentation as well as input for Data room, Share/ Asset Purchase agreement
- Advising on and negotiating purchase price mechanism (Locked box, Completion accounts, earn-out, etc.) and perform the purchase price calculation in accordance with the selected mechanism.
- Prepare and present all M&A project relevant Financial and Tax matters and impacts of M&A deals on OMV's Financials KPIs incl. company models to the Project Steering Committee.
- Ensure continuous cross-functional alignment with other project members and other Upstream or Corporate functions to improve the internal M&A process.
- Ongoing co-operation and communication with relevant Business Units involved in the M&A process
- Build and maintain market intelligence related to M&A activities in the sector, monitor industry trends and identify implications and opportunities for the Group

**Your profile**:

- You have a Master Degree in Business Administration, Finance or Economics
- You have at least 9 years of relevant professional experience
- Experience in managing international cross-border M&A processes with large project teams; in-depth knowledge of the M&A process and project execution with focus on Finance, Controlling, Tax and Commercial aspects
- Excellent communication, presentation and project management skills
- Strong negotiation skills and problem-solving competence
- Ability to establish and maintain relationships with internal and external key stakeholders
- Understanding of the oil & gas business beneficial
