Overview As a key member of the senior leadership team, the newly created role of General Counsel and Company Secretary contributes to GemLife's strategy and operations on legal, corporate governance and regulatory matters. The General Counsel and Company Secretary is a critical Executive Leadership role at GemLife, providing strategic legal, governance and risk leadership across the Group. This role plays a key role as an in-house advisor, ensuring GemLife's activities, growth initiatives and operations comply with all relevant laws and regulations, and that risks are identified and effectively managed. The successful candidate will work closely with a range of stakeholders offering counsel across a range of complex matters, in a high-performing, outcome-focused culture of high commercial and operational acumen. This role carries significant Board exposure and influence and will play a key role in shaping GemLife’s legal, governance and risk function as the business continues to scale. Responsibilities Act as a senior strategic advisor to the Executive team and Board, supporting the delivery of required business outcomes in line with legal and regulatory requirements Management of the development and implementation of legal and commercial frameworks for major procurements Supporting strategic project delivery and management of contractual arrangements through the provision of legal and commercial advice and project management support Supporting the management of litigation and major claims Perform Company Secretary duties, including oversight of corporate governance obligations Deliver training and promote a culture of compliance and risk awareness across the Group Drive continuous improvement in governance, documentation, policies and processes Coordinate Board and Committee meetings including preparation of agendas, Board and Committee papers Role will be an Executive level role with heavy Board engagement What You’ll Bring A minimum of 5 years’ experience as an in-house General Counsel within an ASX-listed business, specialising in corporate and / or construction law Proven experience operating at Executive level with significant Board engagement A pragmatic approach to the commercial and construction legal landscape Expertise in contract law with experience negotiating complex contracts Experience working within an ASX-listed company experience is essential Additional Requirements This is a fast-paced and high impact role, requiring the ability to adapt quickly and manage changing priorities Infrequent travel between GemLife resort locations may be required in this position What we offer Ability to create your own Legal and Risk division within one of Australia\'s fastest growing developer and operator of luxury over 50\'s lifestyle communities Based at Head Office (Helensvale, Gold Coast), with up to one day per week working from home post-probation Career variety and longevity as we have a huge pipeline of future sites Highly competitive salary + long-term incentive potential, commensurate with experience A company experiencing massive growth and development opportunities for the team Flare Retail discounts, Fitness Passport subsidised, and corporate uniform allowance Why Join GemLife?
