Senior Corporate Counsel & Deputy Company Secretary (Critical Infrastructure) 8+ Years PQE – Sydney Base pay range: $230,000.00 – $280,000.00 per year. Position Overview The Senior Legal Counsel will be responsible for providing high-quality legal and strategic advice across the business's operations and strategic initiatives. This role will see you reporting directly to the General Counsel while working closely with the broader legal team and senior stakeholders. Key Responsibilities Advise management and project teams on compliance, risk management, and corporate governance issues including privacy and data. Provide strategic legal advice on automation projects, technology integration, and major procurement initiatives across the terminal network. Draft, review, and negotiate complex procurement contracts covering critical categories such as fuel, straddle automation, maintenance, IT infrastructure, vertical solutions, security, and electricity supply. Advise and negotiate broad commercial agreements. Support the General Counsel & Head of Strategy in advising the Executive Leadership Team and Board on legal and regulatory issues impacting the business. Advise on unfair contract terms, competition, and consumer law, including proactive engagement with the ACCC. Support the Company Secretary in ensuring full compliance with statutory and regulatory requirements and governance best practice, assist with drafting board and committee papers, drafting of minutes/resolutions, and act as a key point of contact for directors. Prepare submissions to major inquiries and reviews. collaboratively with internal stakeholders across operations, strategy, finance, and external advisors. Key Skills 8+ years’ PQE gained in a top‑tier or in‑house legal environment. Strong understanding of corporate, commercial, and regulatory law. Strong interpersonal and communication skills, with the ability to influence and build trust at all levels of the organisation. Highly organised, adaptable, and able to manage multiple complex matters simultaneously. Team‑oriented mindset, with a collaborative and professional working style.
