Transaction Lawyer – W3Global Location: Brisbane, Queensland, Australia. Seniority Level Entry level Employment Type Full-time Job Function Legal Staffing and Recruiting Responsibilities The role we are looking to fill for a transaction lawyer is essentially someone who can take the day‑to‑day running of our transaction matters, supporting whoever is a senior lawyer on that deal. Currently, that role comprises: Working alongside senior lawyers in reviewing and advising on transaction documents (business sale agreement, share sale agreements, etc.). Negotiating the terms of the transaction documents. Assisting in managing the day‑to‑day running of the transaction documents (satisfaction of conditions precedent, preparations for completion, including preparing completion schedules, settlement statements and the general work to ready a transaction for completion). Taking the lead role in managing smaller transactions (for example, REIQ‑type business sales and purchases). This is always done under supervision, but on the smaller transactions, the role is more autonomous. Providing other support in terms of commercial matters as and when needed (for example, reviewing and advising on shareholders’ agreements, joint venture agreements, trading terms and conditions, etc.). Because the majority of the role involves assisting in and managing transactions, anybody with transaction experience would potentially be a fit for the role.
