Our business

Your role:

  • In this position you manage and lead M&A projects throughout the whole process from preparation until Closing and Post-Closing by managing and defining deliverables for project team members.
  • You advise internal stakeholders on complex Finance, Tax and commercial matters in M&A transactions and have direct influence on reflecting them properly in the valuation or in the Share Purchase Agreement / Asset Purchase Agreement in transactions valued up to 1 bn EUR or more.
  • You advise internal stakeholders on and leads Tax Structuring, Financing structure, impact of deconsolidation and dividend potential.
  • You are responsible for the selection of Big4 advisors and Investment Banks for M&A transactions together with the Head of Department and negotiates advisory fees.
  • You support the Head of Department in negotiation of all commercial matters and clauses of Share Purchase Agreements, Asset Purchase Agreements with the Buyer and Seller of Assets/Shares.
  • You provides input for sell side transaction documents such as Teaser, Information Memorandum, Process Letters, Management Presentations and all other M&A related documents.
  • You perform complex business valuations, business plan reviews, challenge Assets Economics and develops the project specific calculation of Value Bridges "Asset to Corporate Value".
  • You advise on and negotiates purchase price adjustment mechanisms (Locked Box, Completion Accounts, earnout etc.) and performs respective calculations.
  • You deliver all related inputs for internal approval documents for the Executive Board and Supervisory Board and coordinates with relevant OMV functions.
  • You ensure continuous crossfunctional alignment with other project team members and Energy/Corporate functions throughout the project.
  • You build and maintain market intelligence related to M&A activities in the sector, monitor industry trends and identify implications and opportunities for OMV Group.

Your profile:

  • University degree in Business Administration.
  • At least 7 years of relevant working experience, preferably in a Big 4 company or in Banking.
  • Extensive knowledge about M&A, company and project evaluation.
  • High individual responsibility in generation and validation of sensitive corporate figures.
  • High accuracy in providing correct information and figures.
  • Excellent English skills.
