Senior Legal Counsel - Corporate/Tax/Asset StructuringKBE Legal Talent has been exclusively engaged by a high profile company that is rapidly expanding its in-house legal function.
As the company continues to grow rapidly and remains in constant M&A mode, they are seeking a Senior Legal Counsel with expertise in corporate law, tax, and asset restructuring, to play a crucial role in supporting their growth.
About the roleWorking closely with the General Counsel and board of directors, you will be responsible for providing legal advice to the business across corporate, M&A, tax and tax driven structuring, compliance, and governance across multiple entities.
Responsibilities will include, but are not limited to:
New and existing M&A and other commercial transactions with the ability to identify and advise on a range of tax issues in this space and existing projects.Providing tax and legal advice across the various business structures.Managing and advising on compliance and governance frameworks.Advising on asset structuring and asset protection.Advising on corporate structuring and restructuring.Managing tax workstreams to improve outcomes and mitigate tax risk.Advising on loans and finance structuring, dividends, and asset/shareholder agreements.Working with and instructing external counsel in multiple jurisdictions.Complex tax arrangements and advice, backed by drafting experience for commercial transactional documents (or their tax-relevant clauses) which implement or compliment tax arrangements and tax advice provided to the businesses.Who we are looking forWe would like to speak with Senior Lawyers from either law firms or companies, who bring a combination of commercial and tax legal expertise, along with strong commercial acumen and decision-making capabilities.
You should be adept at conveying complex legal matters and presenting strategic options to senior executives and operational management teams.
The ideal lawyer will possess a high level of drive and exceptional commercial acumen, with a keen interest in advancing their career long-term within a successful and growing business.
We encourage applications from lawyers with 7-15+ years' PAE with significant experience from leading in-house teams or top/mid-tier law firms.
