Group Company Secretary & Senior Legal Counsel
The Group is one of Australasia's most successful and enduring ASX-listed fintech organisations, with a proud legacy of digital lending and business financing. This broad role will suit a qualified Company Secretary and Lawyer who can apply a legal lens to Corporate Governance, working closely with Legal and Compliance. Reporting directly to the Chief Legal Officer, the Company Secretary & Senior Legal Counsel will be responsible for the following:
Main Board and AGM:
Take responsibility for the Annual General Meeting, attending, and coordinate all aspects including the preparation of the annual corporate governance statement.
Governance Advisory:
Provide advice to the Board, Executive Team, and senior management to ensure compliance with the ASX Listing Rules and Corporations Act, including continuous disclosure and constitutional requirements.
Regulatory Compliance:
Ensure compliance with all ASX, ASIC, and other regulatory requirements, including the completion and lodgement of relevant statutory forms, notifications, and reporting obligations under applicable laws and regulations.
Board and Committee Meetings:
Arrange and coordinate Board and sub-Committee Meetings, including drafting and confirming agenda items, managing the annual workplan, and compiling, reviewing, and circulating papers and minutes.
Legal and Compliance Support:
Provide support to the Legal and Compliance team by embedding the Group's Legal, Regulatory, and Compliance framework, and ensuring compliance with licence obligations as well as Group policies and procedures.
Share Registry Management:
Manage the relationship with the share registry services provider, including monitoring the level of service provided, contract renewal, and drafting and reviewing shareholder communications.
Project Support:
Provide legal and corporate governance support to the Chief Legal Officer and other material project-based and discrete activities in support of the Group's strategic framework.
Insurance:
Work with the Chief Legal Officer on the maintenance of Group insurance policies, including annual renewal and ad hoc requests from Company stakeholders.
Corporate Governance Policies:
Implement and maintain relevant corporate governance policies, charters, and constitutions, including Whistleblower Protection and Securities Trading policies.
Qualifications and Experience:
Company Secretary with ASX-listed experience essential
Financial Services and highly regulated sector experience preferred
Law degree and current practising certificate
Superb interpersonal and stakeholder experience
