Group Executive - Legal, Governance and Company Secretary - Mining29Metals is an ASX-listed mining company, producing copper and other metals critical to driving the global energy transition.
Unlocking value through operational discipline in diversified assets in tier one mining jurisdictions, operations include the Golden Grove mine in Western Australia and the Capricorn Copper mine in Queensland.
As a member of the Executive Leadership Team, you will actively contribute to all aspects of the business, strategic direction, and ongoing sustainability of 29Metals.
This newly scoped role reports into the Chief Executive Officer and Board through the Chair.
With one direct report, an Assistant Company Secretary, this Group Executive role offers hybrid working arrangements with occasional travel and can be based in Melbourne, Sydney, Perth, or Brisbane.
Key Responsibilities:Leadership: Contribute towards the business, strategic direction and ongoing sustainability as a Group Executive.Company Secretariat and Governance: Provision of corporate governance and secretariat services to the Board for the effective functioning of its boards and committees, and the Group's corporate governance framework.
Responsibility for oversight of annual reporting including remuneration report, annual report, corporate governance statement, and modern slavery statement.Legal Services: Responsible for the provision of legal advice through external law firms, consultants, and other third parties, including instructing, ensuring high-quality advice is received.Responsible Officer: Whistleblower Officer, Privacy Officer, Grievance Officer, and Disclosure Officer.Specific Accountabilities:Company Secretariat Governance:Oversee annual "Co Sec Calendar," including detailed forward-planning, running weekly Co Sec team meetings, ensuring all activities and tasks are delivered on time.Design, govern, and maintain an effective framework for Corporate, Board, and Board Committee governance and seamless execution of submitting papers to the CEO and the Board.Design, implementation, and governance of certain compliance or training programs in line with the key company corporate governance policies.Legal Services:Responsible for the provision of legal advice through external law firms, consultants, and other third parties, including instructing, ensuring high-quality advice is received.Oversee the implementation of corporate actions such as dividends and buybacks.Draft, implement, and administer the Company's equity incentive plans.Act as Disclosure Officer under the Company's Disclosure & Communications Policy.Advise on due diligence processes for major corporate and finance transactions.Responsible Officer:Act as Company's Whistleblower Officer, Privacy Officer, Grievance Officer, and Disclosure Officer.Manage the external Whistleblower hotline services and act as the Whistleblower Protection Officer.Capabilities Required:Qualified Lawyer with experience in mining, heavy industry, or highly regulated sectors.Extensive experience in company secretariat roles in ASX-listed organisations.Experience managing and influencing senior stakeholders at an Executive and Board level.Please send your resume in confidence to Catherine Wolfe-Coote, Executive Search Partner, at or call for a confidential discussion, .
