Finance - Structured Finance Attorney / Finance - General Attorney in Sydney, New South Wales Job Title: Legal Counsel, Corporate Finance, Treasury & Trade – Senior Vice President Job Responsibilities: The Senior Vice President, Legal Counsel is a pivotal member of the Legal team at the company, primarily supporting the Corporate Bank, Commercial Bank, and Treasury & Trade Solutions businesses in Australia and New Zealand. The position involves a variety of responsibilities, including: Providing high-quality legal advice and counsel to stakeholders across the company, ensuring alignment with business objectives while managing legal, regulatory, and reputational risks. Supporting a wide range of corporate finance transactions and banking products, such as corporate loans, structured finance, securitisation, acquisition finance, business banking for mid-large cap corporates, commercial real estate financing, receivables finance, letters of credit, payments platforms, and corporate credit cards. Collaborating with other members of the Legal team in Australia & New Zealand and the APAC regional Legal IB team to gain exposure to debt capital markets, equity capital markets, and M&A transactions. Engaging in legal projects related to legislative and regulatory changes, including foreign legislative changes affecting local business and local legislative changes impacting company businesses outside Australia. Handling cross-franchise matters such as licensing queries, outsourcing, and procurement contracts. Contributing to broader legal team and business initiatives, supporting more junior lawyers, and building effective working relationships with colleagues and functional teams. Education and Experience Information: Candidates for this position are expected to have: A minimum of 10 years of post-qualification legal experience, either in-house or in private practice within a common law jurisdiction. Extensive experience dealing with legal issues and transactions in corporate finance, including acquisition finance, syndicated lending, bilateral secured and unsecured lending, commercial real estate financing, receivables financing, and securitisation. Comprehensive knowledge of Australian state and federal applicable laws and practices. Demonstrated ability to provide clear and concise written and verbal communication to varied audiences. Broader commercial law experience is advantageous. Flexibility and willingness to apply skills to new products, issues, and legislation. Strong time management skills, practical solutions focus, and a history of providing excellent client service. Enthusiasm and a strong team spirit, with a willingness to support junior lawyers and contribute to team initiatives. Ability to create and maintain effective working relationships with colleagues, business, and functional teams. A current Australian practicing certificate or the ability to obtain one by the commencement date. Experience with legal issues in transactional business banking, payments platforms, and corporate credit cards. Experience working across borders in a multinational environment.
