Commercial & Corporate Lawyer Programmed Responsibilities Commercial M&A transaction documents; Shareholder Agreements and similar equity holders agreements; General commercial documentation; Finance and security documents; Business structuring. Corporate Corporations Act advice (including in relation to appointment/removal of directors, notice and process for general meetings, financial assistance, capital reductions, share buy-backs, related party transactions, offers of securities and Financial Services Licensing and disclosures); Employee Incentive Schemes (including Share and Option Plans, Plan Rules, Offer Letters and Explanatory Memoranda, preferably with an understanding of the tax implications of differing plans); Ancillary Documents to the above (such as Confidentiality Deeds, Term Sheets, Assignment Deeds, Novation Deeds, Employment Contracts, Contractor Arrangements, Regulatory Applications). Requirements Minimum 2 years PQE within Corporate & Commercial Law Current Practicing Certificate Strong communication, analytical and problem‑solving skills; Interest in business and enjoy working directly with clients; Ability to balance competing priorities and provide advice across a range of different commercial and corporate matters; Able to work independently and in a team.
