The Role The Director of Legal and Compliance oversees all legal and regulatory functions across Australia and New Zealand, ensuring the organisation operates in full compliance with statutory, corporate governance and investor obligations. The role manages all legal processes related to transactions, structuring, compliance, and corporate governance while leading engagement with external counsel, regulators, and key stakeholders. The position also plays a central role in risk management, policy governance, and the company's overall compliance framework. Responsibilities Lead legal processes for transactions – manage acquisitions, investments and fund closings, engaging and instructing external counsel as required. Oversee corporate and fund structures – establish and maintain entities, trusts and partnerships, ensuring tax and regulatory compliance. Draft and review legal documents – prepare, negotiate and finalise agreements, NDAs and related contracts. Manage legal and compliance registers – maintain accurate records, templates, and filings across Australia and New Zealand. Ensure statutory and regulatory compliance – oversee ASIC, Companies Office, FIRB, AFSL, AML/CTF and related obligations. Support governance and risk management – coordinate board and committee processes, maintain the risk framework and report on compliance matters. Develop and maintain company policies – draft, review and implement governance and compliance policies in line with legislation and best practice. Liaise with stakeholders and regulators – act as key contact for external counsel, government agencies, and internal senior management on legal and compliance issues. Qualifications Legal qualification with post-admission experience (minimum 5–7 years) in corporate, commercial, or funds law. Experience in property, investment funds, or financial services sectors (preferred). Demonstrated experience managing corporate transactions and instructing external counsel. Strong understanding of ASIC, FIRB, AFSL, AML/CTF, and Companies Office regulatory frameworks. Proven ability to draft, review, and negotiate complex legal documents. Familiarity with governance, board, and compliance processes. Excellent organisational and stakeholder management skills, including cross-functional collaboration. Strong written and verbal communication skills with meticulous attention to detail. Benefits Attractive remuneration package including the opportunity for a discretionary bonus.
