Orbus Software is looking for an inhouse counsel with experience in a wide array of commercial contracts particularly software licences and SaaS agreements in the private and public sector.The Regional Counsel, APAC will manage the commercial contracts portfolio and liaise with both customers and colleagues (i.e. revenue and partner teams) to deliver deal enablement, risk management and compliance with a regional focus on Asia Pacific supporting our teams based in Singapore and Sydney. The role can be based in either Singapore or Sydney.Reports to the Chief Legal Officer in London.Role Description:Responsible for drafting and reviewing different legal documents, including SaaS Agreements, Software Licence Agreements (both subscription and SaaS), Non-Disclosure Agreements, Partnership/Referral Agreements, Reseller Agreements, Referral Agreements and MSAsNegotiating with clients and liaising with internal sales team to ensure contracts accurately reflect the needs of the business; clients are large corporate entities or government departments from all over the world.Managing and keeping up to date storage of contracts, key terms contracts summaries, including on systems such as Salesforce and DocuSign.Key Attributes:Experience in drafting and negotiating commercial contracts and related documents in English and Chinese, especially software and SaaS contractsAbility to clearly explain legal jargon and concepts to non-legal colleaguesComfortable working across different jurisdictions and ability to recognise requirements based on jurisdictionWorking in a global teamProven track record of managing and reporting on multiple, fast paced projectsFlexible, self-motivated and happy to take own initiative in learning new conceptsKeen eye for detailWillingness to learn and grow within the companySkills Requirements:LLB, JD or equivalentLaw firm or in-house experience (3-5 years PQE)Excellent spoken and written English and ChineseExperience working with IT Software & SaaS contracts is preferable, but not essentialDesirable:Dual qualified – AUS and Singapore, AUS and HKOther languages would be a plusWilling to travelWhat’s
