We are currently looking for a Head of Corporate Governance (m/f/d) directly reporting to our VP for Legal & Compliance. In this role, you will ensure that Borealis manages legal risk appropriately, protect Borealis’ business interests through legal shields and maintains the highest reputation for legal and ethical behaviour thereby adding value to the business and safeguarding it from harm. You will act as a strategic legal partner to senior management and you will advise the management on legal matters. In addition, you will manage a team of lawyers and you will lead and drive group wide projects with a companywide impact. 

 

Your responsibilities:

  • providing core corporate law advice regarding the corporate governance of Borealis AG and its worldwide subsidiaries (incl. interpretation, revision and update of corporate governance documents).
  • preparing and managing the Supervisory and Executive Board meetings including the proper management of the processes leading to and required for these meetings, focusing on the legal requirements as well as Borealis’ governance.
  • establishing corporate governance processes best practices in Borealis and its subsidiaries, establishing links, providing coordination and identifying synergies.
  • managing the group-wide powers of attorney process and providing legal advice related thereto.
  • managing the contract lifecycle management tool ensuring its constant development according to business needs as well as the corporate company database and other tools acting as first point of contact for Legaltech solutions.
  • managing and supervising a team of lawyers and other experts. 
About you
  • Master degree from a reputable law school/university
  • Admission to the bar and/ or university degree in finance/ economics, incl. MBA an advantage
  • Additional chemistry, managerial and/or engineering studies an advantage but not a must
  • Fluency in English and at least another European language; other languages are a big asset Min. 12 - 15 years of experience in a reputable international law firm or in the legal department of an international company (chemical sector an advantage) 
  • Excellent knowledge of business law and / or a specialist area of law
  • Broad knowledge of the respective legal core areas and / or adjacent areas, the role holder is leading (such as commercial law, competition law and regulatory framework relevant for petrochemical industry) based on exposure on a wide variety of legal topics in previous roles
  • People management experience  
  • Excellent communication and presentation skills

We offer competitive compensation based on the collective labor agreement, starting at EUR 141,600 annual gross salary (based on 38 hrs/week) and a yearly bonus.
