About the Role Senior Legal Counsel to Domain’s Legal Team, reporting directly to the Chief Legal Officer. The role serves as a legal business partner on a wide range of corporate matters including corporate M&A, corporate governance and regulatory compliance. Responsibilities Act as Corporate legal business partner to Finance, Strategy and Tax teams; play a key role in Domain’s cross- functional deal team on strategic corporate M&A projects. Identify legal risks in corporate proposals or concepts and work closely with stakeholders to structure solutions that are compliant, efficient and optimal for the Company. Advise on contractual commitments and statutory obligations (Sale & Purchase Agreements, Corporations Act, Competition and Consumer Act, Privacy Act). Support day-to-day company secretarial matters for Australian and NZ subsidiaries: preparation of resolutions, periodic filings and corporate structure entity management. Partner with global stakeholders on corporate governance matters, including support on Australian aspects of global reporting and policies. Provide additional support to the Commercial Legal Team with general commercial matters such as reviewing and negotiating contracts, managing disputes, protecting IP and licensing agreements. Act as an ambassador for the Legal Team throughout Domain. Qualifications / Experience Law degree (LLB or JD) with 6-10 years post‑qualification experience, including a period in a Corporate M&A team. Admitted to practise in Australia with a current practising certificate. Good foundation at a reputable law firm working in a Corporate M&A Team (non-public focus). General commercial experience advising on contracts (preferred). Prior in-house experience (permanent or secondment) beneficial, though not essential. Experience in data, technology and digital businesses valued. Technical Skill Set Excellent legal advice across M&A, corporate governance, regulatory and commercial matters. Draft and negotiate core M&A and governance documents: shareholders agreements, share purchase agreements, subscription agreements, board resolutions, etc. Identify and assess risks; provide alternative solutions. Strong drafting, communication, stakeholder and project management skills to coordinate deals. Strong attention to detail and problem‑solving ability. Business Skill Set & Attributes Commercial acumen and a pragmatic, strategic approach to legal issues. Strong communicator; comfortable learning new subject matters; manages varied tasks. Self‑motivated 'get‑up‑and‑go', willing to run matters and report to the CLO when required. Collaborative, adaptable and thrives in a fast‑paced, small team environment.
