About the Team ISFU is NSW Treasury’s in-house infrastructure and commercial transactions team. The Unit specialises in providing strategic, commercial and financial advice on structuring, funding, financing, procuring and delivering large and complex infrastructure projects, whether wholly publicly funded or Public Private Partnership (PPPs), as well as significant and complex commercial transactions. In addition, ISFU is the custodian of the NSW PPP Policy and Guidelines which govern the development and delivery of PPP projects in NSW and collaborates with delivery agencies throughout the project lifecycle from investment decision, bid development and evaluation, negotiation, contract execution and financial close. The Unit also provides structuring advice to develop alternative sources of capital and leads the restructure, refinancing and renegotiation of material contractual or commercial changes. Achieving Success as a Director, ISFU These roles will suit applicants with extensive commercial infrastructure or commercial transaction experiences from a variety of backgrounds including those set out below. It is not expected that applicants will demonstrate all attributes referred to below or that the applicant will necessarily have experience both with respect to infrastructure projects and non-infrastructure commercial transactions. 15 to 20 years’ experience in relevant construction industry-related roles or in negotiating, structuring and executing significant commercial transactions Tertiary or postgraduate qualifications in engineering, construction management, commerce, finance, law, business management or in a related discipline, or demonstrated, equivalent, relevant professional experience and training Extensive demonstrated infrastructure sector or M&A experience is essential Substantial management experience, including commercial and financial, change and risk, and experience in leading, motivating and managing a cohesive and high performing team of professionals Project management experience and demonstrated ability to exercise leadership, negotiate and influence in dealings with diverse stakeholders Advanced ability to represent an organisation with authority and credibility, including strong communication and strategy skills Knowledge and understanding, or the demonstrated ability to develop an understanding of, the NSW Government’s policies and programs, NSW’s infrastructure capability and market dynamics, and key sectors relevant to the State’s economic growth Experience gained within the public or private sector, in infrastructure and major projects planning, procurement or delivery, including in legal or financial infrastructure advisory teams, will be highly regarded Experience providing structuring advice, undertaking scoping studies, performing strategic reviews, and playing a leading role in the execution of significant and complex commercial transactions. These roles liaise extensively with other areas within Treasury and with NSW government agencies across several sectors such as Transport, Energy, Water, Health, Education, Social Housing and Corrective Justice and equivalents in other jurisdictions across Australia, and with external stakeholders. Recent and current programs of work Toll Review The Director will report directly to the Executive Director, Toll Review and be responsible for managing and coordinating Treasury’s commercial input into the Independent Toll Review being led by Professor Allan Fels and Dr David Cousins. The Director will be responsible for the development and evaluation of commercial models for the implementation of toll reform, having regard to the existing concession agreements and the State’s budget and financial position, as well as the implementation of the preferred model. The Director will need to collaborate and work closely with Transport for NSW; Treasury and Transport for NSW are jointly supporting the Review. Commercial Transactions The Director will lead the provision of structuring advice, undertaking scoping studies, performing strategic reviews to consider financial and strategic options, and will generally play a leading role in executing significant commercial transactions. Recent and ongoing commercial transactions with respect to which ISFU has played a leading role include the Viral Vector Manufacturing Facility and Casinos Tax and Jobs Arrangements. Major Infrastructure Projects The Director will lead the provision of support to agencies throughout the procurement phase (from procurement options analysis, through contract execution and financial close, to post-contract close matters), as well as the delivery phase (including with respect to risk and claims management). Recent and ongoing major infrastructure projects with respect to which ISFU has had deep involvement include Sydney Metro City & Southwest, Sydney Metro West, Central West Orana REZ, New England REZ, Regional Rail and significant Water Infrastructure projects.
