Legal Counsel and Company Secretary - HYBRID The Caring Group, through its businesses including our Home Caring franchise network, is a private company focused on delivering high quality home care support in the aged and disability care communities across Australia.

POSITION OVERVIEW Home Caring is recruiting for a newly created role in our team.
Reporting to the CFO, the Legal Counsel and Company Secretary will play a crucial role in supporting the legal requirements of companies within the group in conjunction with external counsel, create and maintain strong document and information management across the business including regulatory filings and company compliance related activities.
You will be naturally diligent with detail and commercially-minded, demonstrate experience and confidence in decision-making, problem-solving skills, strong stakeholder management abilities, and enjoy a varied role with the opportunity to learn and grow.
KEY ACCOUNTABILITIES Company Secretarial, Corporate Governance, Compliance
Serve as Company Secretary for nominated companies and provide company secretarial assistance for others Prepare and manage company secretarial documentation, including corporate registers, meeting minutes, resolutions, company filings for a large group of private companies Oversee compliance with the Franchising Code, including maintenance and updates to required disclosure documents Coordinate annual insurance renewal program and serve as point of contact for insurance claims Support senior management with maintenance of enterprise risk register, risk governance procedures and documentation Contracts and Leases Management
Establish and maintain group-wide contracts registers, including processes for monitoring key dates and requirements.
Specific requirements to be met for: Franchise agreements / relationships Leases (both as lessee & lessor) Commercial contracts Prepare and manage franchising agreements (and related documentation) Manage contractual requirements for lease portfolio, including guidance & drafting for negotiations, renewals, terminations and ongoing lease compliance Support the business with review, advice and drafting of commercial contracts Maintain internal legal templates library Legal Communication / Coordination
Support the CEO and CFO by serving as a point of contact/coordination with external legal advisors, as needed SKILLS AND REQUIREMENTS Relevant qualifications in law or related field 3 – 5 years experience as a lawyer Resilience in a fast-paced environment.
Ability to collaborate effectively with a diverse stakeholder group.
