Corporate - General Attorney in Melbourne, Victoria Commercial and Corporate Lawyer About Us: Law firm is a medium-size law firm led by a diverse and progressive group of expert lawyers. We provide quality advice and deliver highly strategic outcomes to our clients achieved by a balance of expert legal acumen, creative thinking, and informed commercial insight in a concise and accessible manner. The role offers an excellent opportunity for a lawyer with 3 to 5 years' experience post‑admission to join our well‑established Commercial and Corporate team. You will be mentored by a team of lawyers with a broad range of industry experience who undertake a diverse range of work. Job Responsibilities Engage with a diverse range of clients from startups to SMEs to ASX‑listed companies. Work with the Corporations Act, Australian Consumer Law, and the PPSR regime. Handle sale of businesses and share sale agreements with earn‑out arrangements. Draft and negotiate complex shareholder agreements and partnership of trusts. Develop and manage employee share plans and company secretarial work. Draft and negotiate a wide range of commercial agreements. Assess client's risk appetite and develop novel approaches to complex commercial problems. Exhibit strong commercial drafting and negotiation skills. Participate in business development and marketing initiatives. Education and Experience 3 to 5 years' experience post-admission as a lawyer. Experience with the Corporations Act, Australian Consumer Law, and related legal areas. Strong communication (written and oral) and interpersonal skills. Commercially and results-oriented with the ability to develop novel approaches to complex problems.
